ONLY PROPERLY LICENSED MICROPIGMENTATION ARTISTS ARE AUTHORIZED TO PURCHASE GOODS FROM THIS WEBSITE. ANYONE PURCHASING GOODS ON THIS WEBSITE REPRESENTS AND WARRANTS THAT SUCH PURCHASER IS A PROPERLY LICENSED MICROPIGMENTATION ARTIST.

Permabeu sells micropigmentation tools and related goods (the “Products”) to micropigmentation artists. The features and information that a User may avail himself/herself of via the Website and any services provided by Permabeu are collectively referred to as the "Services".

II. WEBSITE & PURCHASE TERMS OF USE

A. Website Intended for Adults. 

You must be 18 years old to access the Website and information on this Website, and you must be a micropigmentation artist in order to purchase Products or Services from the Website. 

B. Availability.

Permabeu makes no guarantees regarding the availability of the Website or the Products or Services. Permabeu reserves the right, in its sole discretion, to discontinue the Website or Products or Services and/or modify the contents of the Website or the terms of the Products or Services as it sees fit, including but not limited to, the prices, descriptions, and other e-commerce related information and/or functionality. You agree that Permabeu will not be liable to you for any such discontinuance or modification of the Website or the Products or Services.

Permabeu grants you a limited license to access and make personal use of the Website for purposes and uses that are legal and that are otherwise permitted by these Terms, including purchasing Products and Services. Parts of this Website may offer an opportunity for users to post and exchange opinions and information in certain areas of the Website. Permabeu does not filter, edit, publish or review comments prior to their presence on the Website. Comments do not reflect the views and opinions of Permabeu, its agents and/or affiliates. Comments reflect the views and opinions of the person who post their views and opinions. To the extent permitted by applicable laws, Permabeu shall not be liable for the comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the comments on this Website.

Permabeu reserves the right to monitor all comments and to remove any comments which can be considered inappropriate, offensive or causes breach of these Terms. You hereby grant Permabeu a nonexclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your comments in any and all forms, formats or media.

Permabeu takes your privacy issues seriously. The Website Privacy Policy addresses and governs privacy and information collection and use issues. The Privacy Policy is set forth below in Section IV.

1. Limited Warranty.

Our Products and Services come with limited warranties as set forth in the Product documentation. If you have questions about warranty, please e-mail us at info@permabeu.com.

Our warranties will not cover labor, return shipping or the shipping expense to you, or any common maintenance. Permabeu will not be responsible for shipping charges on received or refused packages, part returns, or Product returns.

In the event of a verified warranty claim, we will reimburse you for shipping and we will repair or replace the defective Product or part, as applicable. However, you must arrange and pay for shipping and you bear the risk of loss and damage for the Product or part being shipped back to us. Labor is not included for any warranty work, unless otherwise expressly set forth in writing. If we perform the warranty work, then we will charge you our then current labor rates. 

2. Warranties Disclaimed, Etc.

NEITHER PERMABEU NOR ANY OF ITS SERVICE PROVIDERS, INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, CONTRACTORS, OFFICERS, DIRECTORS, ASSIGNEES, OR AGENTS WARRANT THAT THE PRODUCTS OR SERVICES OR THE INFORMATION PROVIDED VIA THE WEBSITE WILL BE UNINTERRUPTED OR ERROR FREE. ALTHOUGH WE HOPE EVERY PRODUCT IS PERFECT WHEN WE RECEIVE IT FROM THE MANUFACTUER OR OUR SUPPLIER, THE REALITY IS THAT WE CANNOT GUARANTEE THAT WE WILL INSPECT EACH PRODUCT WE RECEIVE FROM OUR SUPPLIERS AND THAT EACH PRODUCT IS DEFECT FREE WHEN RECEIVED FROM OUR SUPPLIERS. YOU MUST BE SURE TO INSPECT EACH PRODUCT YOU RECEIVE FOR ANY MANUFACTURING DEFECTS OR FLAWS AND/OR ANY DESIGN DEFECTS.

ANY MODIFICATIONS TO THE PRODUCTS OR ELECTRICAL OR ELECTRONIC COMPONENTS OF THE PRODUCTS VOIDS ALL WARRANTIES ARISING OUT OF OR RELATED TO ISSUES IMPACTED BY OR THAT COULD BE IMPACTED BY SUCH MODIFICATIONS (AS IMPACT IS DETERMINED BY US IN OUR DISCRETION). MODIFICATIONS TO THE WIRING, ELECTRICAL OR ELECTRONIC COMPONENTS MAY CREATE A RISK OF FIRE.

3. Limitation of Liability.

TO THE EXTENT ALLOWED BY LAW, PERMABEU SHALL HAVE NO LIABILITY FOR UNAUTHORIZED THIRD-PARTY ACCESS TO OR ALTERATION THEFT OR DESTRUCTION OF, ANY INFORMATION CONTAINED AT THE WEBSITE THROUGH ACCIDENT OR THROUGH FRAUDULENT OR WRONGFUL MEANS OR DEVICES. IN ANY EVENT, THE LIABILITY OF PERMABEU TO YOU OR ANY OTHER USER FOR ANY REASON AND UPON ANY CAUSE OF ACTION SHALL BE LIMITED TO AND SHALL IN NO EVENT EXCEED THE SUM OF THE GREATER OF ONE-HUNDRED DOLLARS ($100.00) OR, IN THE EVENT THAT YOUR DISPUTE OR CLAIM ARISES FROM YOUR PURCHASE OF SERVICES OR PRODUCTS, THE COST OF SUCH DISPUTED SERVICES OR PRODUCTS (I.E., THE AMOUNT YOU PAID TO PERMABEU FOR SUCH SERVICES OR PRODUCTS). THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, NEGLIGENCE, STRICT LIABILITY, 5 MISREPRESENTATION, NON-INFRINGEMENT, AND ANY OTHER CAUSE OF ACTION OR ALLEGATION.

NOTE: SOME JURISDICTIONS EITHER DO NOT ALLOW OR OTHERWISE LIMIT THE PERMISSIBLE SCOPE OF DISCLAIMERS AND LIMITATIONS SUCH AS THOSE APPEARING IN THE TWO PRECEDING PARAGRAPHS. ACCORDINGLY, SOME OF THE LIMITATIONS AND DISCLAIMERS APPEARING THEREIN MAY NOT APPLY TO YOU. 

H. Pricing, Payments, Shipping, Cancellations, Your Obligation to Inspect & Returns.

All prices are subject to change, without notice. The price in effect at the time you place your order is the price that you agree to pay. We reserve the right to cancel orders which have any typos or mistakes by us, including incorrect quotes on pricing. Prices do not include taxes, shipping or handling, those are additional charges. Payment must be received by us before we have any obligation to sell and ship the Product. Any wholesaler or reseller must provide any certificates or credentials requested by us so that we may pay applicable taxes.

Products cannot be shipped to PO Boxes, APO or FPO addresses. You must provide a physical delivery address. You must pay for all shipping. Risk of loss and damage for shipping and title for the Products transfers to you upon our delivery of Products to the carrier. All shipping dates are estimates, and there could be delays in shipping. You must pay all duties and taxes.

We cannot accept Product returns to avoid cross-contamination, unless the Products are incorrect as compared to what you should have received. Once you receive your Product, you have thirty (30) calendar days to inspect your Product for damages (for example, damages caused by shipping). You must report any damages to the Product prior to the expiration of that thirty (30) day period. If you fail to report any damage to us during that period, then any damages will be presumed to be caused by you.

Your order must be accepted by us before it becomes an obligation to send the Product. We may refuse any order for any reason and we do not have an obligation to accept an order, even after payment is made (in which case, we would refund your payment).

Permabeu obtains the Products for suppliers that Permabeu believes are reputable and reliable, however, Permabeu is not in a position to guarantee that it will test every Product and/or to assess the safety of every suggestion that Permabeu makes for User consideration.

Permabeu is not a medical organization and cannot – and does not - give you medical advice or clearance to use certain Products or engage in any activities. NOTHING CONTAINED IN THIS WEBSITE IS INTENDED TO BE, AND NOTHING CONTRAINED IN THIS WEBSITE SHOULD BE CONSTRUED AS, MEDICAL ADVICE. Any suggestions by Permabeu as to use of Products, Services or activities should not be interpreted as a substitute for physician consultation, product safety assessment. K. Severability.

In the event that one or more of the words, phrases, sentences, clauses, sections, subdivisions or subparagraphs contained herein shall be held invalid, this Agreement shall be construed as if such invalid portion had not been inserted. In the event that any invalid language is severed under this paragraph, the severed language shall be comprised of the smallest unit possible such that the severance of the unit results in a valid provision (e.g., a single item in a list will be severed rather than the entire list, a clause will be severed rather than the entire sentence, etc.).

L. Entire Agreement.

This Agreement (plus any information included with the Products and/or Services) sets forth and contains the entire agreement with regard to the matters set forth herein between you and Permabeu.

There are no promises, terms, conditions, or obligations other than those contained herein. This Agreement supersedes all previous communications, representations, or agreements, either verbal or written, between and among the parties with respect to the subject matter of these Terms. To the extent of any conflict between the Terms set forth herein and information included in the packaging in which the Products are shipped, the terms herein shall control. 

M. Choice Of Law.

This Agreement, and any dispute arising from, relating to, or touching upon the Agreement and/or the subject-matter hereof, shall be construed under and governed by the law of the State of Georgia, without regard to its conflict of law rules. All contracts resulting from or relating to this Website shall be deemed entered into in the State of Georgia. 

N. Venue; Personal Jurisdiction; Service of Process.

Any action at law, suit in equity, or other judicial proceeding concerning, relating to, or touching upon in any way this Agreement or the subject-matter hereof, shall be brought or commenced, if at all, only in the federal or courts of the State of Georgia. By accessing and using the Website, you (and any person or entity on whose behalf you act) hereby submit to personal jurisdiction in Georgia in any action by or against you and waive and release now and forever any defense to that assertion of jurisdiction that might otherwise exist. You (and any person or entity on whose behalf you act) agree to service of process for any claim arising out of or related to these Terms via either email (at the email address you provide to us) or a national private carrier (e.g., FedX, UPS), and you hereby waive personal service. You shall pay our attorney’s fees, costs and expenses arising out of or related to any dispute in which Permabeu prevails related to or arising out of any Product or Service.

At Permabeu’s discretion, we may insist that any Claim arising out of or related to any Product or Service be arbitrated in Georgia pursuant to the rules of the American Arbitration Association on a binding and confidential basis; provided, however, that any equitable remedies available via the state and federal courts of Georgia may remain in effect after Permabeu elects arbitration pending resolution of the arbitration.

O. Headings For Convenience Only.

The headings used in these Terms are for convenience only. The headings do not define, limit or extend the scope or intent of the language of the sections and the paragraphs to which they pertain.

P. Waiver.

The waiver by one party of a breach of any provision of this Agreement by the other party shall not operate or be construed as a waiver of any subsequent breach of the same or any other provision by the other party. The failure of a party at any time to require performance of any provision hereof shall in no manner affect its right at a later time to enforce the same.

Q. Permabeu Marks & Material.

The Website contains copyrighted material, trademarks and other proprietary information which may include text, software, photos, video, graphics, music and sound. The entire contents of the Website are subject to United States copyright laws. Permabeu owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. Except as otherwise expressly permitted under copyright law or expressly allowed in these Terms, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express permission of Permabeu and the copyright owner, if other than Permabeu. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, 8 trademark legend or copyright notice shall be made. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material or otherwise using the Website. We shall not be liable to you for delays or failures in performance resulting from causes beyond our reasonable control, including, but not limited to, acts of God, labor disputes or disturbances, material shortages or rationing, riots, acts of war or terrorism, governmental regulations, public health or public safety restrictions (Covid etc), supply chain issues, communication or utility failures.
